Terms and Conditions for Use of EMVERSE NFT Content
(1) EMVERSE NFT
EMVERSE is a collection of digital artwork in Non-Fungible Token (NFT) format, and the EMVERSE management team is committed to the ongoing development of the EMVERSE project through co-creation with creators around the world. In order to protect the rights of those who share this commitment and wish to participate in the project, we have established the "Terms of Use of EMVERSE NFT Content".
Rights of NFT holders
When using EMVERSE NFT, please respect the creators, team members, and other owners, and act in accordance with social norms and your own conscience as a human being striving to realize a just society. In addition, when using EMVERSE NFT, please observe the following
(A) Personal use
Subject to your continued compliance with the Terms, the owner of EMVERSE NFT is granted the right to make royalty-free personal use of his/her EMVERSE NFT within the following limits
(a) Use, copy and display the EMVERSE NFT artwork without modification.
(b) Create, use, copy and display derivative works based on the artwork.
(c) Display the artwork, ownership and transaction of the EMVERSE NFT in a marketplace that permits the buying and selling of the EMVERSE NFT.
(d) Copy or share the EMVERSE NFT artwork on websites or social networking sites that allow EMVERSE NFT owners to participate.
(b) Commercial Use
Subject to continued compliance with the Terms, EMVERSE NFT owners are granted the right to make royalty-free commercial use of their EMVERSE NFT within the following limits
(a) Use, copy and display the artwork of the EMVERSE NFT for commercial purposes without modification.
(b) Create, use, copy, and display derivative works based on the artwork for marketing purposes.
(c) Display the artwork, ownership, and transaction of EMVERSE NFT's derivative works in a marketplace that permits the buying and selling of EMVERSE NFT's derivative works.
(d) Copy or share the artwork of EMVERSE NFT's derivative works on websites or social networking sites that permit participation in EMVERSE NFT's derivative works.
(c) Notes
- The rights of personal and commercial use granted under these Terms and Conditions apply only to EMVERSE NFTs owned by you and not to EMVERSE NFTs owned by third parties.
- Even for permitted commercial use, a separate agreement must be signed if the cumulative transaction value exceeds USD xxxx.
- Derivative works include digital content using EMVERSE NFT artwork as well as physical content such as t-shirts, hats, etc.
- The EMVERSE management team reserves the right to use EMVERSE NFT's artwork and derivative works for promotional purposes without limitation.
(3) Credit
When creating derivative works using EMVERSE NFT's artwork, a defined credit (*) must be included in the content.
- Stipulated credit: Licensed by EMVERSE
- When publishing EMVERSE NFT derivative works on NFT, we recommend that you include the stipulated credit in the NFT metadata, instead of including the EMVERSE credit on the artwork.
- If you publish or offer your derivative work in a format other than NFT, please explicitly include the stipulated credit where it is easily visible to viewers and purchasers.
- EMVERSE and EMVERSE NFT are trademarks of the EMVERSE management team. Use of these trademarks requires a written agreement with the EMVERSE management team. You may not use any words or symbols similar to the trademarks of EMVERSE or EMVERSE NFT in association with the artwork of the Derivative Works.
(4) Miscellaneous
These Terms and Conditions are the basis of the license agreement between you and the EMVERSE management team regarding the use of the Content, and supersede any oral or written arrangements or agreements between the parties.
If any provision of these Terms and Conditions is found to be invalid or unenforceable, in whole or in part, the remaining provisions will remain in full force and effect and will remain binding.
- These Terms and Conditions shall be interpreted fairly and in accordance with the English language.
- The EMVERSE management team reserves the right to change these Terms and Conditions at its sole discretion. The latest version of the Terms and Conditions will be posted on the EMVERSE website from time to time.
(5) Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan without regard to its conflict of law provisions. If any dispute or question arises in connection with these Terms and Conditions or this Agreement, both parties shall make good faith efforts to resolve it. In addition, both parties agree that any dispute or question arising out of or in connection with these Terms and Conditions or this Agreement shall be finally settled in Japan by arbitration in accordance with the Commercial Arbitration Rules of the JCAA.
In the event that the parties are unable to reach a resolution through arbitration, the Tokyo District Court shall be the court of exclusive jurisdiction.
